Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of Sales Automation and related services (the "Service") provided by Sales Automation ("Company," "we," "us," or "our").

If you access or use the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

By using the Service, you agree to these Terms.

2. Definitions

  • "Customer" means the individual or entity accessing the Service.
  • "Customer Data" means data submitted, transmitted, or connected to the Service, including email metadata and extracted contact information.
  • "Processed Data" means structured outputs generated from Customer Data.
  • "Confidential Information" means non-public business, technical, or personal information disclosed in connection with the Service.
  • "Sensitive Data" means payment card data (PCI), health information (HIPAA), or special category personal data under applicable law.

3. Description of Service

The Service enables Customers to:

  • Extract contact information from email signatures
  • Organize and categorize email metadata
  • Generate AI-assisted draft content
  • Integrate with authorized third-party systems

The Service does not:

  • Send communications without Customer action
  • Guarantee accuracy of AI-generated content
  • Assume responsibility for Customer compliance obligations

All outbound communication decisions remain solely with Customer.

4. Subscription & Fees

If applicable:

  • Subscriptions are billed in advance.
  • Plans renew automatically unless cancelled prior to renewal.
  • Fees are non-refundable except where required by law.
  • We may modify pricing with notice prior to renewal.
  • Failure to pay may result in suspension.

5. Customer Responsibilities

Customer agrees to:

  • Use the Service in compliance with all applicable laws
  • Obtain all required consents for data processing
  • Connect only accounts Customer is authorized to access
  • Comply with Google, Microsoft, and integration partner terms
  • Review all AI-generated outputs before use

Customer is solely responsible for the legality, accuracy, and use of Customer Data.

6. Data Ownership & License

Customer retains ownership of Customer Data.

Customer grants Company a limited, non-exclusive, worldwide, royalty-free license to process, store, analyze, and transmit Customer Data solely for the purpose of providing and improving the Service.

Company will not sell Customer Data.

7. Data Protection & Compliance

Where Company processes personal data on behalf of Customer, Company acts as a data processor and Customer acts as data controller.

Company will:

  • Process data only in accordance with documented Customer instructions
  • Maintain commercially reasonable security safeguards
  • Comply with applicable data protection laws

Enterprise customers may request a Data Processing Addendum (DPA).

8. Subprocessors

Company may engage subprocessors to provide infrastructure, hosting, monitoring, and support services.

All subprocessors are bound by contractual confidentiality and data protection obligations.

A list of subprocessors will be provided upon request.

9. Security

Company maintains administrative, technical, and physical safeguards including:

  • Encryption in transit and at rest
  • Role-based access controls
  • Monitoring and logging
  • Secure OAuth handling

No system is guaranteed to be 100% secure.

10. Acceptable Use

Customer may not:

  • Reverse engineer or attempt to derive source code
  • Use the Service to build a competing product
  • Circumvent security controls or rate limits
  • Access accounts without lawful authorization
  • Submit Sensitive Data unless explicitly agreed in writing

Company may suspend accounts for violations.

11. Confidentiality

Each party agrees to protect Confidential Information using reasonable safeguards and to use it only for purposes related to the Service.

Confidentiality obligations survive termination.

12. Intellectual Property

Company retains all rights, title, and interest in and to the Service, including all software, algorithms, and related intellectual property.

No rights are granted except as expressly stated.

13. AI & Generated Content

Customer acknowledges:

  • AI-generated outputs may be inaccurate or incomplete
  • Human review is required before reliance
  • Company is not responsible for decisions made based on generated outputs

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Company's total aggregate liability shall not exceed the total fees paid by Customer in the twelve (12) months preceding the claim.

This limitation does not apply to:

  • Willful misconduct
  • Fraud
  • Obligations under a separately executed DPA (if applicable)

16. Indemnification

Customer agrees to indemnify and hold Company harmless from claims arising from:

  • Customer's misuse of the Service
  • Customer's violation of law
  • Customer's unauthorized data access
  • Customer's violation of third-party rights

17. Termination

Customer may terminate at any time.

Company may suspend or terminate access for:

  • Breach of Terms
  • Legal or regulatory risk
  • Security concerns

Upon termination:

  • Access ends
  • Customer Data will be deleted within a reasonable timeframe, subject to legal retention requirements

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [Insert State].

Any disputes shall be resolved in courts located in [Insert State], unless otherwise agreed.

19. Changes to Terms

We may update these Terms periodically.

Material changes will be communicated prior to renewal or continued use.
